Basic Agreement

Terms and Conditions

1. Indemnification:
   "The exhibitor agrees to indemnify, defend, and hold harmless Premier Events LLC, its affiliates, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising out of or related to the exhibitor’s participation in the event, including but not limited to claims regarding product liability, accidents, or injury within the exhibitor's space."

2. Compliance with Laws:
   "The exhibitor agrees to comply with all applicable local, state, and federal laws, ordinances, and regulations in connection with their participation in the event, including fire and safety codes."

3. Force Majeure:
   "Premier Events LLC shall not be liable for any failure or delay in the performance of its obligations due to circumstances beyond its control, including but not limited to natural disasters, pandemics, strikes, government restrictions, or other emergencies. If the event is canceled or rescheduled due to such circumstances, Premier Events LLC will provide information on options available to exhibitors."

4. Event Cancellation or Changes:
   "Premier Events LLC reserves the right to cancel, postpone, or make modifications to the event, including but not limited to the location, dates, or layout of the venue. In the event of a cancellation by Premier Events LLC, exhibitors may be entitled to a full or partial refund, subject to the discretion of management."

5. Prohibited Items and Activities:
   "The exhibitor agrees not to display, sell, or engage in any activities that are illegal, deemed hazardous, or disruptive, as determined by Premier Events LLC in its sole discretion. Premier Events LLC reserves the right to remove any items or exhibitors found in violation without refund."

6. Subletting and Sharing of Space:
   "The exhibitor shall not assign, sublet, or share their assigned booth space with any other individual or company without prior written approval from Premier Events LLC."

7. Photography and Media Consent:
   "By participating in the event, the exhibitor grants Premier Events LLC permission to photograph, record, or capture their likeness, booth, and products for marketing, promotion, or archival purposes without compensation."

8. Setup and Teardown Policies:
   "Exhibitors agree to set up and tear down their booth within the timeframes provided by Premier Events LLC. Any damages caused by the exhibitor’s failure to follow setup or teardown procedures will be the responsibility of the exhibitor."

9. No Guarantee of Success:
   "Premier Events LLC does not guarantee any particular level of attendance, sales, or success for exhibitors participating in the event. Exhibitors participate at their own risk regarding sales and revenue generation."
